Convertible Loan (Wandeldarlehen)
Standard German instrument for early-stage investment. Quick to execute, converts to equity at next funding round with discount or valuation cap.
Silent Partnership (Stille Gesellschaft)
Common structure for angel investors. Investor participates in profits without management involvement. Flexible and tax-efficient.
INVEST Program Eligible
German government's INVEST program provides 25% acquisition subsidy for angel investors. Exit grant of 25% on gains from subsidized shares.
Direct Equity
Participation in capital increase (Kapitalerhöhung). Requires notarization but provides full shareholder rights and voting power.
INVEST - Zuschuss für Wagniskapital
Eligible investors can receive 25% acquisition subsidy (up to €100,000) and 25% exit grant on gains. Minimum investment €10,000, maximum €200,000 per investment. Program extended through 2027.
