1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the Suruf platform and services provided by Smart Solutions UG (haftungsbeschränkt) ("Suruf", "we", "us", or "our").

By creating an account or using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you may not use our services.

We may modify these Terms at any time. Continued use of the service after changes constitutes acceptance of the modified Terms.

2. Service Description

Suruf is an all-in-one business platform that provides:

• Team communication (chat, video, voice)
• Project and task management
• Customer relationship management (CRM)
• Document collaboration
• Invoicing and payments
• AI-powered automation

We reserve the right to modify, suspend, or discontinue any aspect of the service at any time, with reasonable notice where practicable.

3. User Accounts

3.1 Registration

To use Suruf, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials.

3.2 Account Security

You are responsible for all activities that occur under your account. Notify us immediately of any unauthorized use or security breach.

3.3 Age Requirements

You must be at least 18 years old, or the age of majority in your jurisdiction, to use Suruf.

4. Payment Terms

4.1 Pricing

Current pricing is available on our website. Prices are subject to change with 30 days notice. All prices are exclusive of applicable taxes unless stated otherwise.

4.2 Billing

Subscriptions are billed in advance on a monthly or annual basis. Payment is due upon invoice. We accept major credit cards and SEPA direct debit.

4.3 Refunds

Annual subscriptions may be cancelled within 14 days for a full refund (EU consumer right). Monthly subscriptions are non-refundable but can be cancelled at any time for the next billing period.

6.1 Our Property

Suruf, including its software, design, logos, and content, is owned by Smart Solutions UG. You receive a limited, non-exclusive license to use the service.

6.2 Your Content

You retain ownership of content you create or upload. You grant us a license to store, display, and process your content as necessary to provide the service.

7. Limitation of Liability

To the maximum extent permitted by law:

• Suruf is provided "as is" without warranties of any kind
• We are not liable for indirect, incidental, or consequential damages
• Our total liability is limited to the amount you paid us in the 12 months before the claim

These limitations do not affect your statutory rights as a consumer in the EU.

8. Termination

8.1 By You

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period.

8.2 By Us

We may suspend or terminate your account for violation of these Terms, non-payment, or other serious breaches. We will provide notice where possible.

8.3 Effect of Termination

Upon termination, you may export your data for 30 days. After this period, we will delete your data in accordance with our Privacy Policy.

9. Dispute Resolution

These Terms are governed by German law. For consumers in the EU, mandatory consumer protection laws in your country of residence also apply.

We encourage you to contact us first to resolve any disputes. If we cannot resolve a dispute, you may submit it to the courts of Munich, Germany, or your local court if you are a consumer in the EU.

10. General Provisions

10.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Suruf.

10.2 Severability

If any provision is found unenforceable, the remaining provisions remain in effect.
